User Agreement (Terms of Service)

AVI Plants | AVI PROFESSIONAL LLP (Singapore Registered Entity)

1. Parties & Acceptance of Terms

1.1 This User Agreement (the “Agreement”) governs all access, browsing, account registration, shopping, payment and website service activities on www.aviplants.com, operated by AVI-PROFESSIONAL LLP, a Singapore registered limited liability partnership (“AVI-Plants”, “we”, “us”, “our”).

1.2 “You” refers to any individual, studio, enterprise or legal entity accessing or purchasing services via our website. You confirm you are at least 18 years old or have full legal capacity to bind your organization.

1.3 By visiting our site, creating an account, completing checkout, downloading assets or using any website functions, you fully accept this Agreement, our Privacy Policy, and the separate End User License Agreement (EULA) for all 3D plant digital assets. If you disagree with any clause, you may not use our website or purchase any products.

1.4 This Agreement is supplementary to the EULA. In case of conflict between documents, the EULA shall prevail for all rights and restrictions related to 3D plant assets.

2. Account Registration & Security

2.1 You may register a personal account to store order records, access purchased asset downloads and manage subscription plans. You must provide accurate, complete and valid contact information during registration.

2.2 You are solely responsible for safeguarding your account login credentials (email, password). All orders, downloads and operations conducted under your account shall be deemed acts made by you. Immediately notify support@aviplants.com if you detect unauthorized account access.

2.3 We reserve the right to suspend or permanently terminate your account without prior notice if you violate this Agreement, the EULA, applicable laws or payment rules.

3. Website Content & Intellectual Property (Platform Scope Only)

3.1 All text, product images, preview renders, brand logos, website layout, UI design and marketing copy on www.aviplants.com are the intellectual property of AVI-PROFESSIONAL LLP, protected by Singapore copyright and trademark laws.

3.2 You may not copy, scrape, reproduce, modify, redistribute or embed any website content for commercial or competitive purposes without our written prior approval.

3.3 All 3D plant mesh, texture, scan source files and downloadable digital assets are regulated exclusively by the standalone EULA, not this User Agreement.

4. Pricing, Payment & Transaction Rules

4.1 All product prices displayed on the website are denominated in United States Dollars (USD), exclusive of third-party payment processing fees, currency conversion charges levied by PayPal or your card issuer.

4.2 We accept PayPal as the sole authorized payment method for all orders on this global website. You authorize PayPal to deduct the full order amount from your selected payment instrument upon checkout confirmation.

4.3 All digital asset sales are final. No refunds, chargebacks or partial reimbursements shall be granted after payment is completed, as digital files are instantly accessible via your member center upon successful transaction. You acknowledge previews and product descriptions fully disclose asset specifications before purchase.

4.4 You may not file fraudulent chargebacks or payment disputes without valid written justification approved by AVI-Plants. We reserve the right to block your account and restrict future purchases if invalid disputes are raised repeatedly.

5. Order & Digital Delivery Rules

5.1 Upon successful payment, you will receive an order confirmation email. Download links for purchased assets are exclusively available within your secure member dashboard on our website; no permanent download links will be included in any email.

5.2 You agree to log into your member account to retrieve all purchased asset files. Download access to your paid assets remains permanently available in your account unless your account is terminated due to policy breaches.

5.3 Asset rendering results shown in product previews are created under specific render engine settings. Actual visual output may vary depending on your local software, lighting, hardware and scene configuration, and this shall not constitute grounds for refunds or liability claims against AVI-Plants.

6. Prohibited Website Activities

You shall not perform any of the following actions while using our website:

a) Hack, disrupt, overload or interfere with website servers, Cloudflare storage or Webhook payment systems;

b) Use crawlers, scrapers or automated bots to mass download product previews, asset samples or proprietary website data;

c) Create multiple fake accounts to obtain free sample assets repeatedly or abuse promotional discounts;

d) Use our website or purchased assets for illegal, infringing, fraudulent or harmful activities violating local international laws;

e) Impersonate AVI-Plants staff, resell website accounts or transfer paid asset access to third parties;

f) Distribute, share or leak temporary download links obtained from your member dashboard to external parties.

7. Subscription & Promotional Terms

7.1 Limited-time opening discounts, free sample packs and subscriber-only benefits are subject to published time limits and eligibility rules. Promotions cannot be combined unless explicitly stated on the product page.

7.2 We reserve the right to adjust pricing, discount rules and subscription benefits at any time with prior notice posted on the website homepage. Existing completed orders will not be retroactively adjusted for price changes.

8. Disclaimer of Warranties

8.1 Our website and all digital assets are provided “as-is” without express or implied warranties of any kind. We do not guarantee flawless rendering compatibility with every third-party render engine, nor do we guarantee zero visual discrepancies between preview images and local scene outputs.

8.2 We do not provide free technical support for scene setup, render parameter tuning or post-production adjustments. Support services, if available, are offered at our sole discretion.

8.3 We are not liable for any hardware failure, file corruption or data loss occurring after you download asset files to your local storage device.

9. Limitation of Liability

9.1 To the maximum extent permitted under Singapore law, AVI-PROFESSIONAL LLP shall not be liable for any indirect, consequential, incidental, special or economic damages including lost project revenue, lost profits or business interruption arising from your use of our website or digital assets.

9.2 Our total aggregate liability for any claim related to your order shall never exceed the total amount you paid to us for that specific product.

10. Modification of Agreement

We reserve the right to revise this User Agreement at any time by publishing updated text on our website legal page. Material changes will be notified via website announcement. Your continued use of the website after updates are posted constitutes your acceptance of revised terms.

11. Termination

11.1 You may stop using our website and close your account at any time by ceasing all access to our services.

11.2 We may terminate your account immediately without refund if you breach this Agreement, the EULA, or engage in fraudulent payment or copyright-infringing conduct. Upon termination, all rights to access and use purchased digital assets are revoked, and you must permanently delete all asset copies in your possession.

12. Governing Law & Dispute Resolution

12.1 This Agreement is governed exclusively by the laws of the Republic of Singapore.

12.2 Any dispute, claim or controversy arising from or related to this website, orders or digital asset purchases shall be subject to the exclusive jurisdiction of Singapore courts. All disputes shall be resolved in Singapore without class-action lawsuits.

13. General Provisions

13.1 Separability: If any clause of this Agreement is ruled invalid or unenforceable, the remaining terms shall remain fully valid and binding.

13.2 Entire Agreement: This User Agreement, Privacy Policy and EULA together form the full binding contract between you and AVI-Plants, superseding all prior oral or written communications.
